These terms apply to every project and service provided by ARKA Creative Limited ("ARKA", "we", "us"), a company registered in England and Wales under company number 16167740, with its registered office at 56 Guildford Street, Chertsey, England, KT16 9BE. "You" or "the client" means the person or business we are working for.

You accept these terms when you sign our proposal or quote, confirm in writing (including by email) that you want to go ahead, or pay our deposit. If anything in a proposal conflicts with these terms, the proposal takes priority

• Quotes and proposals are valid for 30 days from the date they are issued.

• Each proposal sets out the agreed scope, deliverables, fees and timeline.

• Any work outside the agreed scope is quoted and charged separately. We will confirm the cost with you before starting it.

• A 50% deposit is due before work begins. We will not schedule shoots or start production until it is paid.

• The remaining balance is due before final delivery. We release final files once the balance is paid. Before then, we may share previews that are watermarked or low resolution.

• Invoices are payable within 14 days of the invoice date.

• If a payment is late, we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, and we may pause work until payment is received.

• Extra expenses, such as travel, talent, locations, equipment hire, props, music licences or stock footage, are sent to you for approval before they are incurred. We will not charge any expense you have not approved in writing.

• All fees are exclusive of VAT, which is added where applicable.

• Two rounds of revisions are included for each deliverable unless the proposal says otherwise.

• Please send all feedback for each round together, in one message.

• Extra revisions are charged per revision, at the rate set out in the proposal or quoted before the work begins.

• Changes to an approved script, storyboard or concept count as new work and are quoted per deliverable.

You agree to:

• Provide the information, materials, access and feedback we need on time.

• Make sure everything you give us (including logos, music, footage, images, text and product claims) is accurate and that you have the right to let us use it.

• Obtain any approvals needed from your own business before signing off work.

If you are late providing materials or feedback, our timelines will move accordingly.

• Once you have paid in full, you own the final approved deliverables and may use them for any purpose. Until full payment is received, all work remains ARKA's property.

• ARKA keeps ownership of all unused work, including concepts, ideas, scripts, storyboards, designs, drafts and alternative versions that were presented to you but not chosen. We may reuse or adapt them for other work.

• Raw footage, project files and working files are not included unless agreed in the proposal.

• Licensed music, fonts, stock footage and other third-party materials are used under their own licence terms. We will tell you about any restrictions.

• ARKA may publish any work it creates for you for its own marketing and promotion, including on our website, portfolio, social media, showreels, awards entries and pitches.

• The deposit is non-refundable once work has started.

• If you cancel a project after work has begun, you pay for all work completed and any approved expenses incurred up to the cancellation date.

• If you cancel or postpone a shoot day less than 48 hours before it is due to take place, the shoot day is charged in full, along with any approved expenses we cannot recover.

• We may end a project if you do not pay an invoice on time or seriously break these terms. You will still pay for work completed up to that point.

Delivery dates in our proposals are estimates. They depend on receiving deposits, materials and feedback on time. We will keep you updated if a timeline changes, and we are not responsible for delays caused by circumstances outside our reasonable control.

If we handle personal data on your behalf as part of a project (for example, contact details of leads, or footage of people), we act as your data processor. We will only use that data on your written instructions, keep it secure and confidential, and delete or return it when the project ends. You remain responsible for having a lawful basis to collect and share that data with us. Our Privacy Policy explains how we handle our own data.

• Our total liability to you for any project is limited to the fees you have paid us for that project.

• We are not liable for any indirect or consequential loss, including loss of profit, revenue, business or opportunity.

• Nothing in these terms limits liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, or for fraud.
